ТЕОРЕТИЧНІ ТА ПРИКЛАДНІ АСПЕКТИ ОРГАНІЗАЦІЇ РЕЙДЕРСЬКОЇ ДІЯЛЬНОСТІ ЯК КЛЮЧОВА ЗАГРОЗА ЗАБЕЗПЕЧЕННЮ СИЛОВОЇ СКЛАДОВОЇ ЕКОНОМІЧНОЇ БЕЗПЕКИ ПІДПРИЄМСТВА
Анотація
У статті розглянуто основні теоретичні та практичні аспекти реалізації рейдерської діяльності у вітчизняних умовах з позицій ключових загроз реалізації силової складової економічної безпеки підприємства. У ході дослідження було сформульовано визначення поняття «рейдерства», виділено основні причини виникнення даного явища. Систематизовано основні типи рейдерства, побудована функціональна структура ресурсного забезпечення рейдерських атак, яка включає в себе юридичне, інформаційно-аналітичне, комунікаційне та силове забезпечення, а також організатора рейдерської атаки. Визначено потенційне коло можливих учасників рейдерської атаки як з позицій внутрішніх, так і зовнішніх джерел їх походження. Розглянуто основні форми прояву рейдерства. Розглянуто теоретичну основу взаємозв’язку організаційно-управлінських заходів здійснюваних підприємством у напрямку протидії таким незаконним господарським практикам як рейдерство та загальних підходів до реалізації ефективного функціонування силової складової економічної безпеки підприємства.

THEORETICAL AND PRACTICAL ASPECTS OF THE ORGANIZATION OF RAIDING ACTIVITIES AS A KEY THREAT TO THE POWER COMPONENT OF THE ECONOMIC SECURITY OF THE ENTERPRISE
Summary
The article outlines the main theoretical and practical aspects of the implementation of key activities of the power component of economic security in the enterprise in the context of the activation of illegal economic practices such as raiding, which take place in the modern conditions of the national economic environment especially regarding the specifics of economic relations between enterprises, their legality and transparency. During the research conduct, the concept of "raiding" was defined. Moreover, the main causes of this phenomenon were identified such as institutional, competitive, criminal and personal. The article systematizes main types of raiding in accordance with the degree of legality by the measures taken in the process of the enterprise takeover ("white", "gray" and "black" types of raiding), builds a functional structure of resourcing of raider attacks, which comprise legal support, information and analytical support, communication support, force support, and raider attack organizer. The potential range of possible participants in the raider attack (from the standpoint of internal and external potential participants in the seizure), which includes interested individuals, has been identified; unscrupulous managers, shareholders or owners of the company, organized criminal groups or potential competitors of the enterprise of various scopes, which are interested in the enterprise liquidation or weakening its market position in general. The main forms of raiding are considered to be related to the manipulation of debt and share capital, use of organizational gaps in the enterprise, deliberate actions towards communal enterprises to the point of permanent insolvency, cooperation with personnel and external information attacks. The theoretical basis of interrelation of organizational and administrative measures carried out by the enterprise in the direction of counteraction to such illegal economic practices as raiding and the general approaches to realization of effective functioning of a power component of economic safety of the enterprise is considered.
